Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") are a legal agreement between you and NEXTWAVE SUPPORT LLC, operating as HallWallet ("HallWallet," "we," "us," or "our"). They govern your use of the HallWallet website and application (the "Service").

By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

You must be at least 18 years old to use HallWallet.

2. What HallWallet Is (and Is Not)

HallWallet is a personal money-tracking and organization tool for owner-operators. It helps you record income and expenses, set aside a tax reserve, track bills and savings goals, and see an estimate of what is "safe to spend."

HallWallet is not a bank, is not a financial institution, and does not hold, move, or manage your actual money. All figures in the app are based on information you enter or upload.

HallWallet does not provide financial, tax, accounting, legal, or investment advice. Any information in the Service — including "safe to spend" figures, tax reserve suggestions, and educational content about business structures (such as sole proprietor, LLC, or S-corp) — is for general informational and organizational purposes only. It is not a substitute for advice from a qualified accountant, tax professional, or attorney. You are solely responsible for your own financial and tax decisions, and you should consult a qualified professional before making them.

3. Your Account

You are responsible for:

  • Providing accurate information when you register.
  • Keeping your password secure and confidential.
  • All activity that happens under your account.

Notify us promptly at info@hallwallet.com if you suspect unauthorized use of your account. We are not liable for losses caused by someone using your account with or without your knowledge.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of these Terms.
  • Upload content that infringes others' rights or that you have no right to share.
  • Attempt to gain unauthorized access to the Service, other accounts, or our systems.
  • Interfere with, disrupt, reverse-engineer, or overload the Service.
  • Use the Service to store or transmit anything malicious, fraudulent, or misleading.

We may suspend or terminate your account if you violate these Terms.

5. Your Content

You retain ownership of the financial data, images, and other content you add to HallWallet ("Your Content"). By using the Service, you grant us a limited license to store, process, and display Your Content solely to operate and provide the Service to you.

You are responsible for the accuracy of Your Content. HallWallet is not responsible for errors in your records, calculations based on inaccurate data you entered, or decisions you make based on the app's output.

6. Accuracy and Availability

We work to keep the Service accurate and available, but we do not guarantee that:

  • Calculations or estimates (including "safe to spend" and tax reserve figures) are correct or suitable for your situation.
  • The Service will be uninterrupted, error-free, or available at all times.
  • Any errors will be corrected.

We may modify, suspend, or discontinue any part of the Service at any time. During beta or early-access periods, features may change or be removed, and data handling may evolve as the Service develops.

7. Premium and Paid Features

Some features may be offered as paid or "Premium" options in the future. If and when paid features launch, additional terms (including pricing, billing, and cancellation) will apply and will be presented to you before you purchase. Features described as "coming soon" are not guaranteed and may change.

8. Third-Party Services

The Service relies on third-party providers (such as hosting and analytics). We are not responsible for the acts, omissions, or content of third parties.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR THAT ITS OUTPUT IS ACCURATE OR RELIABLE FOR YOUR FINANCIAL OR TAX DECISIONS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HALLWALLET AND NEXTWAVE SUPPORT LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF (OR INABILITY TO USE) THE SERVICE — INCLUDING ANY FINANCIAL OR TAX DECISIONS MADE BASED ON THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

11. Indemnification

You agree to indemnify and hold harmless HallWallet and NEXTWAVE SUPPORT LLC from any claims, losses, or expenses (including reasonable legal fees) arising from your misuse of the Service or your violation of these Terms.

12. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the Service. Sections that by their nature should survive termination (including disclaimers, limitation of liability, and indemnification) will continue to apply.

13. Governing Law

These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-laws rules. Any disputes will be handled in the courts located in Florida, unless applicable law requires otherwise.

14. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. For significant changes, we will provide more prominent notice. Your continued use of the Service after changes take effect means you accept the updated Terms.
